Terms of Service of the Gugu App

1. Scope of Application

These Terms of Service ("Terms") apply to the use of the Gugu App and all related services ("Gugu", "we", "us").

By registering or using Gugu, you agree to these Terms.

2. Description of the Service

Gugu is an app for creating personalized children's stories. The service includes:

• AI-generated stories based on your inputs
• Voice output (text-to-speech) of the stories
• Optional voice cloning with your own voices
• AI-generated illustrations and avatars
• Export functions (PDF, Audio)

3. Registration and Account

3.1 Requirements

• You must be at least 18 years old to create an account
• You must provide truthful information
• You are responsible for all activities under your account

3.2 Account Security

• Keep your login credentials secret
• Inform us immediately in case of unauthorized access: support@gugu-app.com
• We are not liable for damages caused by unauthorized use of your account

3.3 Guest Mode

You can use Gugu to a limited extent without registration (Guest Mode). Your data is stored locally and in an anonymous guest profile. Full functionality requires registration.

4. Rules of Use

4.1 Permitted Use

You may use Gugu to:

• Create stories for your family and children
• Generate content for private, non-commercial use
• Share stories within your family circle

4.2 Prohibited Use

You may not use Gugu to:

• Create illegal, violence-glorifying, or discriminatory content
• Create content that could endanger or harm children
• Generate pornographic or sexually explicit content
• Violate copyrights, trademarks, or other third-party rights
• Impersonate other people without their consent (incl. voice cloning)
• Commercially redistribute, sell, or exploit generated content (without prior written consent)
• Manipulate or overload the technical infrastructure of Gugu
• Perform automated access (bots, scraping)

4.3 Violations

If you violate these rules, we may:

• Remove content
• Temporarily suspend your account
• Permanently delete your account
• Take legal action

5. Subscriptions and Payments

5.1 Free and Paid Features

Gugu offers:

• Free Features: Limited number of stories, standard voices
• Subscription Models: Extended limits, premium features, voice cloning

Current prices and services can be found in the app.

5.2 One-Time Purchases (Consumables / OTPs)

In addition to subscriptions, you can purchase individual digital content or quotas (e.g., "Extra Audio Story", "Extra Text Story", "Extra Voice Clone Story") as immediately consumable one-time purchases (Consumables).

• These purchases are tied to your account and cannot be transferred to other users.
• A refund in real money is excluded.

5.3 Payment Processing

• iOS/Android: Payments for subscriptions and in-app purchases are processed via Apple In-App Purchase or Google Play Billing (the respective store terms apply additionally).
• Web: The purchase of gift cards on the website is processed via Stripe. Direct app subscriptions cannot be concluded via the web at this time.

5.4 Subscription Renewal

Subscriptions renew automatically unless canceled before expiration:

• iOS/Android: At least 24 hours before the end of the current period via iOS/Google settings
• Web: Anytime in the Gugu account settings

5.5 Refunds

• iOS/Android: According to Apple / Google App Store guidelines
• Web: Within 14 days of purchase if unused (statutory right of withdrawal). Contact us at support@gugu-app.com

5.6 Price Changes

We may change prices. Existing subscriptions will only be affected after the current term. We will inform you at least 30 days in advance.

6. Intellectual Property

6.1 Gugu Content

All rights to the Gugu App, including design, code, trademarks, and documentation, belong to theconcept technologies FlexKapG.

6.2 Your Content

• Inputs: You retain all rights to the information you input (names, descriptions)
• Generated Content: We grant you a non-exclusive, personal right of use for private purposes for the stories, images, and audio files generated for you
• No Commercial Use: Resale or commercial exploitation of generated content is not permitted without our written consent
• Granting of Rights when Sharing: If you share generated content with third parties via the app features or release it for public galleries ("Global Weekly Series"), you grant us a free, non-exclusive, worldwide right to store, reproduce, and make this content publicly accessible for the purpose of providing these features.
• Granting of Rights for AI Training (Opt-In): Only if you explicitly and voluntarily consent via the app settings or a dialog (Opt-In), do you grant us a free, perpetual right to use your uploaded voice recordings and the corresponding text transcripts in strictly anonymized form for research and to improve our in-house speech synthesis models ("Gugu-Voice").
• Granting of Rights for Text and Image Models: For other content you enter or generate (texts, stories, generated images), we reserve the right to use it in a completely anonymized form for the further development of our AI models. You can object to this use at any time in the app settings (Opt-Out).

6.3 Feedback

If you provide us with feedback or suggestions for improvement, we may use them without compensation.

6.4 Third-Party Trademarks

All third-party trademarks mentioned in the App or on the Website (e.g., Toniebox®, Tonies®, Apple®, Google®, Stripe®, Visa®, Mastercard®) are the property of their respective owners. The reference to these trademarks is purely for compatibility descriptions or informational purposes, and does not imply any commercial affiliation, authorization, sponsorship, or endorsement between Gugu and these trademark owners.

7. AI-Generated Content

7.1 No Warranty

AI-generated content may:

• Contain inaccuracies or errors
• Produce unpredictable results
• Not always be perfectly age-appropriate despite filters

We recommend reviewing generated content before sharing it with children.

7.2 Content Moderation

We use filters to prevent inappropriate content. Should problematic content nevertheless be generated, please report it to: support@gugu-app.com

7.3 No Medical or Educational Advice

Gugu does not replace professional advice. Stories are for entertainment and are not therapeutic or educational tools.

8. Voice Cloning

8.1 Consent Required

If you use the Voice Cloning feature:

• You may only use your own voice or the voice of individuals who have explicitly consented
• You must confirm this with every upload

8.2 Prohibited Use

It is prohibited to:

• Clone voices without the owner's consent
• Imitate voices of celebrities, politicians, or other public figures
• Use cloned voices for fraud, deception, or other illegal purposes

8.3 Deletion

You can delete voice profiles at any time in the settings.

9. Child Protection

9.1 Adults Only

Account creation and management is exclusively reserved for adults (18+).

9.2 Parental Gate

We provide parental control features (PIN protection). You are responsible for activating and keeping these secure.

9.3 Duty of Supervision

You are responsible for the appropriate use by children in your household.

10. Availability and Changes

10.1 Availability

We strive for high availability but cannot guarantee uninterrupted service. Maintenance work will be announced whenever possible.

10.2 Changes to the Service

We may:

• Add, change, or remove features
• Temporarily or permanently discontinue the service

We will inform you in a timely manner about significant changes.

10.3 Changes to the Terms

We may change these Terms. For significant changes:

• We will inform you via email or in-app
• We will give you 30 days to object
• If you object, you may cancel your account

Continued use after the changes take effect constitutes acceptance.

11. Liability

11.1 Limitation of Liability

To the extent permitted by law:

• We are not liable for indirect damages, lost profits, or data loss
• Our liability is limited to the amount paid by you in the last 12 months
• We are not liable for third-party failures (Apple, Stripe, AI providers)

11.2 No Liability For

• Damages caused by unauthorized access to your account
• Content resulting from improper use
• The suitability of the content for specific purposes

11.3 Exceptions

These limitations do not apply in cases of:

• Intent or gross negligence
• Injury to life, body, or health
• Mandatory statutory liability provisions

11.4 Indemnification by the User

You agree to indemnify and hold Gugu (theconcept technologies FlexKapG) and our employees harmless from any claims, damages, losses, and costs (including reasonable attorney's fees) asserted by third parties due to your contractual breach of the app's use. This applies in particular to the culpable violation of:

• Copyrights or trademarks (e.g., by entering protected character names into the story prompt),
• Privacy rights or data protection rights,
• Third-party voice rights in the event of unauthorized use of the Voice Cloning feature without the consent of the person concerned.

12. Termination

12.1 Termination by You

You can delete your account at any time:

• In the app settings ("Delete Account")
• Via email to support@gugu-app.com

For active subscriptions:

• iOS/Android: The cancellation of a paid subscription must strictly be done in the settings of your Apple App Store or Google Play Store.

12.2 Termination by Us

We may terminate or suspend your account for:

• Violation of these Terms
• Suspected fraudulent use
• Prolonged inactivity (at least 24 months, with prior notice)

12.3 Consequences of Termination

Upon termination:

• You will lose access to your account
• All your data will be deleted in accordance with our Privacy Policy
• Unused subscription periods will expire (except for termination by us without your breach)

13. Right of Withdrawal

13.1 Right of Withdrawal for Subscriptions

For subscriptions concluded via our website, consumers residing in the EU/EEA have the right to withdraw from the contract within 14 days without giving any reason.

Withdrawal period: 14 days from the date of contract conclusion.

13.2 Expiration of the Right of Withdrawal for In-App Purchases

Subscriptions and individual purchases of digital content within the app (In-App Purchases) are processed exclusively via Apple (App Store) or Google (Play Store). The respective withdrawal and refund policies of the App Stores apply here.

By completing a purchase via the payment dialogue of Apple or Google, you agree to their terms for the immediate provision of digital content and the associated expiration of the right of withdrawal. A separate checkbox in the Gugu App is not required for this, as the contractual processing takes place via the respective App Store.

13.3 Reimbursement after Withdrawal

In the event of a valid withdrawal, we will reimburse all payments received from you without undue delay and no later than 14 days after we receive your withdrawal notice. We will use the same payment method you used for the original transaction.

13.4 Right of Withdrawal for Gift Cards

When purchasing a Gugu gift card (voucher) via our website, the 14-day right of withdrawal applies from the date of purchase.

Loss of right of withdrawal for gift cards: The right of withdrawal expires prematurely once the gift card code has been redeemed, as the digital content thereby acquired (subscription period, story generations) is immediately made available and a full reversal is no longer possible.

Unredeemed gift cards: If the code has not yet been redeemed and the 14-day withdrawal period has not yet expired, you may withdraw from the gift card purchase. Please contact us at support@gugu-app.com with your order number.

14. Dispute Resolution

14.1 Applicable Law

Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods.

14.2 Jurisdiction

The place of jurisdiction for disputes is Riegersburg, Austria, as far as legally permissible.

14.3 Online Dispute Resolution

The EU Commission provides a platform for online dispute resolution:

We are not obligated to participate in dispute resolution proceedings before a consumer arbitration board.

15. Final Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us.

14.2 Severability Clause

Should individual provisions be invalid, the remaining provisions shall remain valid.

14.3 No Assignment

You may not assign rights under these Terms without our consent.

14.4 No Waiver

Failure to enforce a right immediately does not constitute a waiver.
